Sect. 1 Scope and Contracting Parties

1.1 Provider

These Terms and Conditions apply to the use of the platform and services of:

1.2 Scope

These terms govern the relationship between the provider and users of the AI-powered trademark search platform TMPilot.ai. By using the platform, the user accepts these terms as binding.

Sect. 2 Service Description

2.1 Free Trademark Search

The provider offers a free basic search including:

• AI-powered Nice class mapping
• Search in the EU trademark register (EUIPO)
• Search in the German trademark register (DPMA)
• Similarity analysis and risk assessment
• Registration success probability

2.2 Premium Report

Additionally, a premium report can be purchased for EUR 29 per search, including:

• Detailed AI risk analysis with recommendations
• Lawyer report for forwarding to a trademark attorney
• Email template for communication with an attorney
• AI-generated logo suggestions (SVG)

2.3 Lawyer Referral

TMPilot.ai provides a referral service connecting users with specialized trademark attorneys.

There is no entitlement to a specific response time from the referred firm or to a specific legal outcome.

2.4 Lawyer Network (for Law Firms)

Law firms can register for the TMPilot attorney network in two tiers:

• Basic plan (free): Basic profile in the law firm directory (without logo, banner, description, and Google reviews), backlink with nofollow, participation in the lead marketplace for 100 EUR per lead. Pool leads are only visible after a 24-hour grace period (premium priority).
• Premium plan (49 EUR/month or early adopter): Complete law firm landing page with logo, banner, description, and Google reviews, dofollow backlink, immediate access to pool leads, lead price 50 EUR.

Both tiers require verification of the law firm. TMPilot reserves the right to verify and approve law firms.

2.5 Availability

The provider aims for 99 percent annual average platform availability. Maintenance and force majeure are excluded.

Sect. 3 Registration

Registration is optional. Trademark searches and premium report purchases are also available without an account (guest checkout).

Upon registration, the user agrees to provide truthful information and keep login credentials confidential.

Sect. 4 Pricing and Payment

4.1 Pricing Model

• Free search: Unlimited availability, no registration required
• Premium Report: One-time EUR 29 per trademark search (incl. VAT)
• Attorney network Basic plan: Free listing; lead purchase 100 EUR per lead (incl. VAT), 24h grace period on pool leads
• Attorney network Premium plan: 49 EUR/month (plus VAT), cancellable monthly; lead purchase 50 EUR per lead, immediate pool access

The first 10 law firms receive the first year premium for free (early adopter offer).

4.2 Payment Processing

Payment processing is handled by the payment service provider Stripe. Stripe's terms and privacy policy also apply.

Sect. 5 Contract Conclusion and Delivery

Purchasing a premium report constitutes a contract for the delivery of digital content. The premium report is automatically generated and provided immediately after payment receipt.

By purchasing a premium report, we automatically create a user account for you. You use it to access your reports later and manage trademark monitoring. You set the password yourself via the link in the purchase confirmation. You can remove the account at any time under "Delete account".

§ 5a Lawyer Network Subscription Terms

Free Listing (Free Tier)

Registration in the attorney network is free of charge. The free Basic tier includes a basic directory entry with firm name, city and specializations, a nofollow link to the firm website, and participation in the lead marketplace at EUR 100 per lead. Pool leads become visible to Basic firms only after a 24-hour grace period - Premium firms have priority during that window. Extended features such as dofollow backlink, logo, banner, description and Google Reviews are reserved for the premium subscription.

Premium Subscription (EUR 49/month)

The Lawyer Network subscription begins upon successful Stripe payment or early adopter activation.

• Monthly billing via Stripe
• Invoices are sent monthly via email.
• Cancellation via email to service@tmpilot.ai, effective at the end of the billing period
• After cancellation, the firm profile remains active until the end of the current billing period.
• After the billing period ends, the profile is deactivated and removed from the directory.
• TMPilot may terminate for violation of terms (e.g., misleading profile, non-response to leads)

Early adopter access expires automatically after 12 months. After that, standard subscription pricing applies (€49/month plus VAT).

Sect. 5b Lead marketplace, refund policy, and attorney reviews

5b.1 Lead marketplace

In the attorney network area, verified law firms can purchase anonymized client requests (leads). The request is initially displayed exclusively to the assigned law firm for 24 hours; afterwards, it is visible to all eligible law firms (premium and basic tier), unless purchased beforehand.

• Price per lead premium tier (49 EUR subscription): 50 EUR incl. VAT.
• Price per lead basic tier (listed for free): 100 EUR incl. VAT.
• Only one law firm receives the award per lead (exclusive mandate).
• Payment is made once via Stripe. Invoice will be sent by email.

5b.2 Refund policy (money-back for dead lead)

A refund of the lead purchase price is possible within 7 days of purchase if no consultation took place AND one of the following cases applies:

• At least 3 documented contact attempts on at least 2 different calendar days without a response from the lead (email, phone).
• Invalid contact details (Email bounce, invalid phone number) — no waiting period required.

No entitlement to a refund exists in the following cases:

• The lead responds but declines the consultation (sales risk of the law firm).
• No or less than 3 contact attempts have been documented in the system (in this case, the lead will automatically return to the pool after 7 days; the original law firm will be blocked for this lead; no refund).
• The 7-day refund window has expired.

Refund requests are submitted by the law firm via the attorney portal. TMPilot checks the basis for the claim and decides on the payout. Approved refunds will be refunded via Stripe to the original payment method; the lead goes back to the public pool and the refunded law firm will be blocked for this lead.

5b.3 Attorney reviews by clients

30 days after a successful lead purchase, the lead (client) receives an email with the option to publicly rate the law firm (stars 1-5 and free text). The review will be displayed in the public law firm profile.

• One review per lead is possible.
• Reviews must be truthful. TMPilot reserves the right to delete obviously untrue or offensive reviews.
• Law firms have the right to leave a public response to any review.
• In case of justified complaints, the deletion of a review can be requested at service@tmpilot.ai.

5b.4 Obligations of the purchasing law firm

• First contact with the lead within 48 hours after purchase.
• Respect the contact preference chosen by the lead (Email/Phone/Callback).
• Document every contact attempt in the attorney portal (Requirement for refund review).
• Capture the outcome of the mandate after completion or at the latest 30 days after purchase.

Sect. 5c Partner and affiliate programme

5c.1 Participation and referral remuneration

In the partner and affiliate programme, approved partners (e.g. blogs, portals, newsletters) can refer visitors to TMPilot.ai via a personal referral link (?ref=<slug>). For eligible, completed purchases by referred customers, the partner receives a commission.

• Standard commission: 30 % of net revenue (after VAT, payment provider fees and a flat 10 % platform-cost deduction) per referred purchase.
• The commission is recurring: it applies both to the initial purchase (premium report) and to every subscription renewal (e.g. trademark monitoring) of the referred customer within the agreed binding period.
• Individual terms (e.g. different commission rates for volume or co-branding) require a separate agreement in text form.

5c.2 Attribution

A customer is attributed to a partner via a functional first-party cookie (tm_ref) with a 30-day lifetime, following the last-touch principle (the referral link last used within the 30 days counts). On the first purchase, the customer is permanently assigned to the partner attributed at that time; later subscription renewals by this customer continue to be remunerated to that partner. Referrals via the provider's own domains do not trigger any commission.

5c.3 Payout and cancellation

• Commissions are shown transparently in the partner dashboard. The partner can request a payout at any time directly from the dashboard once the payable balance reaches a minimum of 50 EUR.
• A commission only becomes due for payout after a cancellation period of 30 days from purchase has elapsed (protection against refunds).
• If a referred purchase is refunded, the associated commission lapses or is clawed back.

5c.4 Partner obligations

• No misleading, unfair or unlawful promotion; no trademark or copyright infringements.
• No paid search engine advertising on the provider's trademarks and no spam, cookie stuffing or other manipulation methods.
• TMPilot.ai may terminate participation with immediate effect in the event of violations and forfeit the affected commissions.

§ 6 Right of Withdrawal for Digital Content

You have the right to withdraw from this contract within 14 days without giving any reason.

The withdrawal period is 14 days from the date of conclusion of the contract.

To exercise your right of withdrawal, you must inform us (TMPilot.ai, Antonio Blago, Hohenzollernstrasse 143, 56058 Koblenz, e-mail: service@tmpilot.ai) by means of a clear statement (e.g. by e-mail) of your decision to withdraw from this contract.

§ 6a 14-Day Satisfaction Guarantee

Regardless of the expiry of the statutory right of withdrawal (§ 6), the provider grants a voluntary 14-day satisfaction guarantee from the date of purchase. Within this period, you may request a full refund of the purchase price, provided the following conditions are met.

Requirements for a refund:

• The refund request must be submitted within 14 calendar days of the purchase date by email to service@tmpilot.ai.
• The request must include a substantiated and specific explanation of why the purchased report did not meet expectations (e.g., missing registry entries, incorrect Nice class assignment, incomplete risk analysis).
• General statements such as 'not satisfied' or 'not useful' without specific factual justification are insufficient.

No entitlement to a refund exists if the report has been fully accessed, used, and/or forwarded to third parties (e.g., attorneys) and the complaint does not relate to an objectively verifiable deficiency.

The provider reviews each refund request individually and communicates the decision within 5 business days. In the event of a refund, reimbursement is processed via the original payment method (Stripe).

§ 7 Usage Rights

The user receives a simple, non-transferable, non-exclusive right to use the platform and purchased reports for their own purposes.

Prohibited activities include:

• Automated mass queries of the registers
• Sharing or reselling premium reports
• Reverse engineering of the platform
• Use for illegal purposes

§ 8 Data Protection

The provider's privacy policy applies to the processing of personal data, available at Privacy Policy.

§ 9 Limitation of Liability

9.1 Liability for Intent and Gross Negligence

The provider is fully liable for intent and gross negligence. For slight negligence, the provider is only liable for breach of essential contractual obligations.

9.2 Third-Party Services

The platform uses third-party APIs (EUIPO, DPMA, Stripe, OpenAI). The provider assumes no liability for outages or errors of these services.

9.3 Accuracy of Results

AI-generated analyses are for informational purposes only. No guarantee can be given for accuracy, completeness, or timeliness.

§ 10 Warranty

The provider warrants that the platform is essentially usable as described in the service description. Insignificant deviations do not constitute a defect.

Recognizable defects must be reported in writing immediately upon discovery.

§ 11 AI Usage and EU AI Act

11.1 AI Systems Used

The platform uses OpenAI GPT-4o-mini for the following functions:

• Automatic Nice class mapping based on product descriptions
• Detailed risk analysis and recommendations (Premium)
• Creation of lawyer reports and email templates (Premium)
• Logo suggestions as SVG (Premium)

11.2 No Training on User Data

11.3 Human Oversight

All AI-generated analyses serve as decision-making aids. The AI does not make automated decisions with legal effect. The final assessment rests with the user.

§ 12 Intellectual Property

All rights to the platform, including software, design, and texts, remain with the provider. Reports created by the platform may be used by the user for their own purposes. Redistribution as a standalone product is prohibited.

§ 13 Final Provisions

13.1 Applicable Law

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

13.2 Severability Clause

Should individual provisions of these terms be or become invalid, the validity of the remaining provisions shall remain unaffected.

13.3 Amendment of Terms

The provider reserves the right to amend these terms. Changes will be communicated to users by email at least 4 weeks before taking effect.

13.4 Dispute Resolution

The provider is not obligated and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
